We will provide products and services that are technologically innovative, Boarder friendly and possess the utmost in dependability and craftsmanship. At EETAW we will make it paramount to administer the highest level of customer/ client support and assistance. Our customer is the key. We intend to make first time customers into lifelong customers by continuing to provide not only a quality product, but also a quality workforce that will insure our company’s success. We will: 1) Follow the philosophy that our customers are why we are in business. To be a company “by the snowboarder, for the snowboarder”. Insure their continued support by always following the principles of quality, utility, continual customer follow-up, responsiveness to their needs and requests. 2) Grow with our customers, supplying them with an ever-increasing array of products to make their “snowboarding experience” the “sickest”. Note: “sickest” is G2 parlance for “cool”. HISTORY OF SNOWBOARDING Snowboarding became popular only in the last 10 years. Jake Burton, Chuck Barfoot and Tom Sims pioneered snowboarding in the late 70’s. All now head or have led snowboard companies with Burton being the largest snowboard manufacturer in the world. Burton gets most of the media's credit for having incorporated the first high-back bindings, metal edges and snowboard boots into his line. All of the early pioneers were heavily influenced by surfboarding. The roots really start with the snurfer, that sled hill toy you may have ridden as a kid, shaped like a small water ski with a rope tied to the nose and a rough surface for traction from the center to the back where you stood. Sherman Poppin was the inventor of the snurfer, which first appeared in the 1960s. As it turns out Jake Burton was involved in snurfer racing, a gag event put on by a group of bored college students. Well, he got the bright idea to put a foot retention device (little more than a strap at first) on his boards and began to win these events hands down. At about this same time several other people were busy inventing the sport. Jeff Grell is credited with designing the first high back binding. Demetre Malovich started Winterstick, which didn't make it financially. He introduced several important factors early on in the sport like swallowtail designs, and laminated construction. Boots evolved from Sorels (TM) or Sno-pac type boots. Early "snowboard" boots were Sorel shells with ski boot type bladders. It was obvious that these early boots did not supply adequate support for the ankle and inhibited control of the boards. The first hard-shell "snowboard" boots were in fact ski boots. It didn't take long for the first true hard-shell boot to be produced before the end of the eighties. Burton set up shop at Stratton Mountain in Vermont and by 1985 had incorporated steel edges and high-back bindings into his designs. The metal edges allowed use at regular ski resorts and the rest is hiss-toe-ree. In 1985 only 7 percent of U.S. ski areas allowed snowboards; today more than 97 percent do and over half have half pipes. The snowboarding FAQ is compiled, written, and/or edited by Mark Wallace http://arachne.nyx.net/~mwallace/sb_faq.html PRESENT SITUATION EETAW SNOWboarding CO. presently holds four (4) patents on a “tool less” binding system. Our binding system is unique, easy to operate and technologically innovative and can be used on any available snowboard. It is the only binding that will allow the boarder to change their stance and position quickly, fluidly and safely. All other manufactured bindings need a screwdriver in order to make changes In your stance; ours integrates a “quick release” lever on the side of each binding, turning minutes of adjusting time into merely seconds. The intent is to benefit the sport of Snowboarding on the whole, while dramatically improving quality and satisfaction of the snowboarding experience. EETAW will have a competitive advantage over other new companies, as well as some of our more mature competitors. Our binding system will be an instant “hot” commodity, especially in the snowboard rental market. Now, when a snowboard is rented at a resort or a sports store the rented board must be reconfigured each time it is used. Just as car seats can be adjusted for comfort, the binding angle must be comfortable for the boarder to ride safely and effectively. This process can take several minutes or longer depending on how many boarders are waiting. Our binding takes the hassle out of changing your stance, adjustments are made effortlessly. Through the help of our endorsers and sponsors we have developed many “ in roads” with top industry rental programs. The bindings will also show positive results in the retail market immediately. The snowboarder wants/ desires the newest, most cutting edge equipment. Through creative marketing in the showrooms and at tradeshows (SIA in March, ASR in May and August) we will make ourselves known. This is a product whose time has come. THE COMPANY EETAW Snowboarding Co. is a Nevada corporation founded in 1995 when the first patent was developed, with the specific intent to produce a market niche product, our binding system, as well as a clothing and accessory line that will be equally as creative and functional. During this period of time we have redeveloped and refined our binding system. In March 2000 our fourth patented binding system was approved and is ready for production. Currently $240,000 has been expended for Research and Development and patent expenses. EETAW currently has 1,000 authorized shares. The shares were limited for ease of formation and for the purpose of targeting the “sophisticated investor” group. Once EETAW begins production, a Nevada corporation will be formed and the 1,000 shares will be converted into 10,000,000 shares. The business is currently located in Santa Barbara, Ca. Once Manufacturing begins, distribution and sales will be based in either Ventura or Santa Barbara County. COMPETITION EETAW’s patented binding system currently has no equal in the Industry. We will emerge upon the scene introducing a cutting edge product that will garner the interest of our customers and the respect of our competitors. Currently there are seven (7) major snowboard manufacturing companies that hold the largest market share; Burton, Sims, Lamar, Ride, Morrow, Switch and Santa Cruz. These are the largest and most financially fit. The skiing Industry has suffered from the increased popularity of snowboarding. Traditional ski producing companies, such as K2 and Rossignal have seen the writing on the wall and have entered the snowboarding market. Interestingly enough, non-ski and snowboard providers are thrusting their name and product into the industry market. Such companies as, VANS/ skateboard shoes, NIKE/ athletic shoes, QUICKSILVER/ surf wear and BILLABONG/ surf wear are coming out with their own namesake products, namely in clothing and accessories. According to Business Wire magazine, VANS reported a $15 million (24%) increase in their second quarter sales and earnings during the second quarter of 2000. As well, QUICKSILVER reported a $27 million (38%) increase in their profits during the third quarter. These companies attributed their success directly to snowboard clothing and accessory sales. The need for our products is out there; it is ours for the taking. We have spoken with several of these top companies. Though financially strong these companies appear to be nervous of our innovation and our immediate infusion into their market. They know that we have a technologically superior innovation that will cut deeply into their profits and market share. CUSTOMERS There are currently over 12 million snowboarders in the United States and well over 20 million worldwide. That is why we applied for patent rights for our binding in alpine countries throughout the World. According to the National Ski and Snowboard Retailers Association, the average age of a snowboarder is 16.9 years of age, but our sport is far from being age dependant. Although those individuals under the age of 30 represent 3/4 of the snowboarding population, there is still quite a diversity in regards to age and gender. Not only are more individuals boarding, they are boarding more often, approximately 30% more often than they did five (5) years ago. The NSSRA’s statistics also showed that injuries related to the sport of snowboarding are less likely to occur than injuries from Basketball, Baseball, football and even Golf. From 1990 to 1998 snowboarding has grown at a staggering rate. The National Sporting Goods Association shows an increase of 149.8% during this time and an even higher 202.7% among the 12-17 year old age bracket. This new generation is choosing to snowboard instead of ski. Snowboarding’s increased popularity is 4 to 10 times greater than sports such as, basketball, Tennis, Soccer, Etc. Only the trend activities of roller-blading and in- line skating saw a greater increase during this time. Snowboarding is not only a fun, energetic recreation; it is also a growing Sport. With the continuing success of such events as the Gravity Games and ESPN’s X Games You can now watch professional snowboarders on national TV. We are the company that makes products “ By the Snowboarder, for the Snowboarder”. From a manufacturing viewpoint, EETAW has a retail shop potential of over four thousand shops throughout the United States, not including a potentially large market of international shops as well. With over 600 Ski/Snowboard resorts in the United States alone and at least four rental shops at each resort, EETAW looks forward to a rental sector of approximately 2400 rental shops nationwide. Again this statistic increases dramatically when including the worldwide market. The majority of SNOWboard manufacturers obtain orders from their inside sales staff, Trade shows and distributors, EETAW will do likewise. However, EETAW will take these traditional sales techniques one step further; Five thousand samples will be distributed to retail SNOWboard shops, another hundred or so will be gifted to Professional SNOWboarders in exchange for their comments and endorsements. While another five hundred sets will be given to the most popular resort rental shops in the country. THE PRODUCT Presently, there is no other binding on the market that is as creatively innovative as EETAW’s “No Tooling/ No Fooling” system. Our dedication to quality and creativity will make our name in the market instantly recognizable. What the XEROX name did for photocopies in the 70’s we will do for snowboard bindings and our expanding product line. This will be our mark! During the past five years we have developed four national and applied for International patents for our binding system. In March 2000, EETAW received the patents for our final two models. There is no binding on the market that is quite like our “No Tooling/ No fooling” binding, we have exclusive rights to all patents. The Patent itself specifically covers all specifications of the binding’s design and utility including the base disc, main body, top disk and one or more levers. Also included in the patent is the rotational device that allows for tool less angular adjustments. Every major binding manufacturer and their product, whether it be hard or soft, high or low back, plastic or metal, tends to be boringly the same. Most use plastics that have a propensity to freeze crack or wear out prematurely. Other bindings rely on four (4) large screws in the bindings base plate to be loosened before one can adjust their stance. These screws often strip, wear out and constantly need to be changed. Our binding alleviates this hassle and inconvenience. The working parts of EETAW’s binding system are made from surgical stainless steel metal alloy, resistant to cracking or stripping. In addition, rather than being exposed to the elements, the inner workings of the binding are sealed. Not only is our product innovative and high quality, our binding (as well as all our products) will possess a unique style and flare that will differentiate us from our competition. The true strength of our binding system is that no tools are required to change the angle of the rider’s stance. NO TOOLIN/ NO FOOLIN! This is what makes our product ideal. It is all about the ease of use that is what makes the snowboarding experience for all levels of riders. It is convenient. It is user friendly. EETAW will be synonymously linked with “binding footwear for the snowboarder”. The opportunities for EETAW’s binding system, although initially geared towards the rental market will be available to any and all boarders. Any snowboard owner can retrofit and make use of our binding to upgrade their boards. The manufacturing cost of each set of bindings will be $50. The average retail market price for current binding systems ranges from $139- 285. Our bindings will wholesale for $100 per pair and will expect to retail for $200-250, which is an extremely competitive price based on the features and innovation of our product. Although the patented binding will be the driving force and initially our main focus, EETAW will be ready at the time of funding to extend our reach into other products. We will Develop/manufacture or outsource, Jackets, pants, boots, packs, board bags, hats, gloves, as well as many other snowboarding accessories. Once a Snowboarder realizes that they can adjust the binding in seconds, instead of having to use a tool or a Phillips screwdriver to turn four screws and risk losing, breaking or stripping them, a loyal following will build exponentially as soon as the device is unveiled. WORKING PROTOTYPE Since April of 1998, EETAW has created two working prototypes, which have been tested in Whistler Canada by Kevin Young, Devon Walsh and Chris Brown, three highly renowned professional Snowboarders. Based upon this professional testing, we have found that our binding system had performed better than our expectations. We are furthermore confident that EETAW will encounter less liability issues than other binding manufacturers because of the fact that our bindings consist of high quality surgical stainless steel alloy which resists cracking or stripping of teeth. In addition, all inner workings of the binding are sealed and protected from ice and snow. The lever system locks into place and is tight and secure so that when tested in extreme conditions by professionals, no problems occurred with this mechanism DISTRIBUTION EETAW SNOWboarding Co. has formed a strategic alliance with Chuck Barfoot, Inventor, owner and founder of BARFOOT Boarding Co. Chuck is a true pioneer to the sport of Snowboarding. He along with (Jake) Burton and (Tom) Simms helped originate and evolve snowboarding into what the sport has become today. Chuck has been developing and manufacturing snowboards for over twenty- five (25) years and will give EETAW a preemptive advantage over other start up companies and will allow us to garner immediate Industry visibility and a larger market share. Our goal is to accrue 5% of the snowboarding market by 2003. The “No Tooling/ No Fooling” binding system will become a top quality market standard for both hard and soft bindings. An aggressive sales and marketing strategy will ensue at the time of funding. 90% of our effort will be concentrated on the rental market, while 10% will be dedicated to the retail market during our first year. This will result in EETAW capturing a large initial share of the binding market. Through our alliance with Chuck Barfoot and other Consultant/ Endorsers will have established a strong channel into manufacturing options and sales opportunities. EETAW is pursuing the opportunity to co- brand with BARFOOT Boarding Co. (Our bindings, his boards or offer a BARFOOT signature series Boards produced by our company). Chuck Barfoot is a well-respected industry icon and gives EETAW instant credibility and recognition. Goals Our Company’s primary goal is to aggressively saturate the rental and retail Snowboarding market with our patented binding system. As profits increase, we will expand operations by introducing more new and innovative product, always staying on the cutting edge of a growing market that will command other companies to follow suit. Product lines in clothing, snowboards, as well as many other accessories shall be successfully implemented into our cannon of marketability. EETAW has the Management tools and product capabilities to “get big fast”. Soon, EETAW will expand into a catalog and E- commerce divisions that will allow our customers the option of ordering merchandise on- line or over the phone. Our Customers are the reason we do business and their happiness is directly correlated to EETAW’s success. EXECUTIVE MANAGEMENT PETER R. VAN BREGMANN JR. Inventor / C.E.O. and co- Dir.
